Accessing and using the website implies knowledge of the provisions set out herein. Where the law requires express acceptance, it must be obtained through the corresponding mechanism.
2. Purpose and scope
The purpose of these terms and conditions is to establish the general rules for accessing, browsing and using the BPENNOVA website, including its content, tools, forms, contact channels and available features.
This document also sets out the general conditions applicable to information requests and to business processes initiated through the website.
When BPENNOVA offers products, services, specialized solutions, quotes or online contracting, the particular conditions of each transaction will be specifically disclosed and will supplement this document.
Where there are contracts, accepted commercial proposals, service orders or specific agreements, these will prevail with respect to the specific conditions they govern, provided this is legally appropriate and does not disregard any non-waivable rights of users or consumers.
3. Acceptance of the terms and conditions
Users must read this document before using the website's features.
Browsing the site implies the duty to comply with the applicable provisions. However, mere browsing will not, by itself, be deemed acceptance of additional contractual obligations where the law requires an express declaration of intent.
When acceptance is requested through checkboxes, forms, buttons or other electronic mechanisms, users must give their consent freely, in an informed and unequivocal manner, as applicable.
BPENNOVA may keep electronic records of acceptances given when necessary to evidence the information submitted and the conditions accepted.
4. Legal capacity to use the website
The website is intended for individuals and legal entities interested in learning about BPENNOVA's activities, products or services.
Anyone using the website declares that they have the legal capacity to do so and, when acting on behalf of a company or organization, that they have the authority required to submit the corresponding requests.
Minors must use the site in accordance with applicable regulations and with the involvement of their legal representatives where appropriate.
5. Permitted use of the website
Users agree to use the website responsibly, lawfully and respectfully, in accordance with these terms and with current legislation.
In particular, users agree to:
- Use the content and features for lawful purposes only.
- Provide truthful, complete and up-to-date information in the forms.
- Refrain from any activity that may affect the security, availability or operation of the website.
- Not attempt to gain unauthorized access to systems, servers, accounts, databases or restricted areas.

- Not use the site to commit fraud, impersonate others or infringe the rights of third parties.
- Not collect other users' personal data without authorization or a legal basis.
- Not reproduce, distribute or commercially exploit protected content without authorization, unless an applicable legal exception exists.
BPENNOVA may take reasonable measures to protect the website and its users against misuse, in compliance with applicable law.
6. Information and published content
BPENNOVA strives to ensure that the information published on its website is clear, relevant and up to date. However, some content may be general, informative or illustrative in nature and subject to change.
Descriptions, photographs, images, graphics, specifications, references, publications and other materials are provided for information purposes, unless expressly stated to constitute a binding commercial offer.
The publication of information on the website does not, by itself, constitute a guarantee of availability, contracting, delivery, a specific result or the immediate provision of a product or service.
When information is commercially or contractually relevant, BPENNOVA will endeavor to clearly communicate the applicable conditions, including restrictions, requirements, validity and other relevant characteristics.
Any material errors identified will be reviewed and corrected within a reasonable time, without prejudice to any applicable legal obligations.
7. Information requests and quotes
Users may use the enabled forms and contact channels to request information, advice, demos, meetings or quotes, depending on the features available.
Submitting a request does not automatically imply entering into a contract, accepting an offer or any obligation on BPENNOVA's part to provide a service or supply a product.
Quotes must state, as applicable, their scope, price, taxes, validity, payment terms, estimated timelines, deliverables, exclusions and other relevant aspects.
The business relationship will be deemed formalized once the acceptance, contracting and completion conditions applicable to each transaction have been met.
BPENNOVA may request additional information reasonably necessary to assess a request, prepare a proposal or verify the data provided.
8. Conditions for contracting products or services
When BPENNOVA allows products or services to be contracted through the website, it will disclose in advance the essential characteristics of the transaction, the total price where applicable, the available payment methods, the delivery or service conditions and the user support mechanisms.
The particular conditions may establish, among other aspects:
- Scope and characteristics of the product or service.
- Price, taxes, additional charges and method of payment.
- Duration of the service or validity of the product.
- Schedule, delivery, installation or commissioning.
- Responsibilities of the parties.
- Applicable warranties and support conditions.
- Cancellation, return, withdrawal or termination conditions.
- Technical, operational or documentary requirements.
In e-commerce transactions, BPENNOVA will adopt the legally required mechanisms so that users can review the information, correct errors in their order where applicable and keep evidence of the transaction and the conditions accepted.
No provision of this document excludes the rights that the law grants to consumers.
9. Prices, payments and invoicing
Prices and financial conditions will be those stated in the corresponding offer, quote, commercial proposal or purchase process.
For online transactions, the total price and any applicable additional charges will be disclosed before the purchase is completed, in accordance with legal requirements.
The available payment methods will be those enabled and disclosed by BPENNOVA for each transaction. Payment processing may be handled by external providers, subject to their own terms and security policies.
BPENNOVA will never ask users to publicly share passwords, security codes or confidential credentials for their payment methods.
Invoicing will be carried out in accordance with applicable tax regulations and the characteristics of the transaction.
10. Delivery and provision of services
Where applicable, timelines, methods, places of delivery and service conditions will be disclosed in the commercial offer or in the particular conditions of the service.
The communicated timelines will be met in accordance with what was agreed and with applicable legal provisions. Any circumstance that may materially affect a timeline will be communicated to the user in a timely manner, where appropriate.
If the performance of a service depends on information, access, approvals, materials, permits or actions to be provided by the client, the responsibilities and effects of such dependencies must be defined in the corresponding proposal or contract.
The particular conditions may not be used to eliminate mandatory legal responsibilities.
11. Cancellations, returns and right of withdrawal
Requests for cancellation, return, exchange, termination or withdrawal will be handled according to the nature of the transaction, the particular conditions accepted and applicable law.
Where the right of withdrawal provided for in the Consumer Statute applies, BPENNOVA will respect its conditions, exceptions and legal terms.
Exceptions to the right of withdrawal will not be presumed: it must be verified that the transaction actually falls under one of the legal exceptions.
Legal warranties, payment reversals and other consumer protection mechanisms will be honored where applicable, in accordance with their requirements and timelines.
Users may submit their request through:
- Email: info@bp-ennova.com.
- Phone or WhatsApp: +56 9 5729 8834.
- Physical address: Calle Cerro El Plomo 5921, Oficina 1011, Santiago, Chile.
The request must include enough information to identify the transaction and assess the request. BPENNOVA may request additional documents when necessary and legally appropriate.
12. Warranties and handling of complaints
BPENNOVA will handle warranties, support requests and complaints related to its products or services in accordance with the conditions offered, the contracts entered into and applicable regulations.
Where applicable, the coverage, validity, valid exclusions, handling procedure and available channels will be disclosed.
Additional commercial warranties do not replace or reduce mandatory legal warranties.
Complaints will be received and processed in accordance with the applicable legal procedures and timelines. Receiving a request does not mean it is automatically accepted, but it does mean it must be assessed and answered where appropriate.
13. Intellectual property
Unless otherwise stated, the content of the website, including texts, designs, photographs, illustrations, logos, graphic elements, videos, documents, interfaces, code, trademarks and other materials, is protected by applicable intellectual property laws.
The rights to these elements belong to BPENNOVA or to their respective owners and licensors, as applicable.
Access to the website does not transfer any intellectual property rights to users or grant them a general license to commercially exploit the content.
The content may be consulted and used for legitimate personal or informational purposes, within legal limits. Any reproduction, distribution, transformation, publication or exploitation that requires authorization must have the permission of the corresponding owner.
Third-party trademarks, trade names and distinctive signs appearing on the site belong to their respective owners.
14. Information provided by users
Users are responsible for the accuracy, legitimacy and currency of the information they provide through the website, without prejudice to any verification obligations incumbent on BPENNOVA.
By submitting documents, texts, images or other files, users declare that they are authorized to share them and that their use to handle the request does not infringe the rights of third parties.
BPENNOVA will process this information in accordance with the purpose for which it was provided, the applicable agreements and its personal data processing policy.
Sending non-confidential information through the website's ordinary channels does not, by itself, create a confidentiality obligation other than that established by law or by a specific agreement. If the request involves confidential business, technical or commercial information, we recommend using the channels agreed for that purpose.
15. Personal data protection
BPENNOVA recognizes the importance of protecting users' personal data and undertakes to process it in accordance with applicable Colombian law, in particular Law 1581 of 2012 and its implementing regulations, where applicable.
Personal data collected through forms, contact requests, support channels or other features will be processed for the purposes disclosed to the data subject and authorized where authorization is legally required.
These purposes may include, as applicable:
- Responding to inquiries, requests and complaints.
- Managing quotes and business relationships.
- Performing contracts and providing the requested services.
- Carrying out administrative, accounting and support activities.
- Complying with legal obligations and responding to requests from competent authorities.
- Sending commercial or advertising information when there is a valid legal basis to do so.
Data subjects may exercise their rights to know, update and rectify their personal data, request proof of authorization where applicable, learn how their data has been used, and submit inquiries or complaints under the terms of the law.
They may also request the revocation of their authorization or the deletion of their data where appropriate and where no legal or contractual duty prevents the request from being fulfilled.
To exercise these rights, data subjects may contact:
- Data controller: BPENNOVA Consultoría S.p.A.
- Data protection email: info@bp-ennova.com.
- Address: Calle Cerro El Plomo 5921, Oficina 1011, Santiago, Chile.
- Inquiry and complaint procedure: Privacy Policy.
The specific processing conditions, retention periods, security measures and the procedure for inquiries and complaints will be set out in the Personal Data Processing Policy, which must be available on the website.
Authorization to receive advertising, where required, must be kept separate from the authorizations required to handle requests or perform contracts.
16. Cookies and similar technologies
The website may use cookies and similar technologies to enable its operation, remember preferences, analyze site usage, improve the browsing experience and, where applicable, measure advertising campaigns.
The technologies used will depend on the actual configuration of the website and the external services integrated into it.
BPENNOVA will provide information about the cookies and technologies it uses, their purposes, the third parties involved where applicable and the options available to manage them.
Where required by law or by the nature of the technology, the user's prior consent will be requested before activating cookies or technologies that are not strictly necessary.
Users may manage their preferences through the settings mechanism available on the site and, additionally, through their browser options.
Disabling certain cookies may affect some features, but this does not justify activating non-essential technologies without the consent that may be required.
Detailed information must be available in a Cookie Policy or in a specific privacy section.
17. Third-party links and services
The website may contain links to pages, platforms, applications or services managed by third parties.
These links are offered to facilitate access to complementary information or tools. BPENNOVA does not necessarily control the content, policies, availability or privacy practices of such third parties.
Access to those services is at the user's own responsibility and subject to the terms and policies of their respective owners.
The inclusion of a link does not necessarily imply an alliance, endorsement, certification or business relationship with the third party, unless BPENNOVA expressly states so.
18. Website availability and security
BPENNOVA will endeavor to keep the website available and to adopt reasonable measures to protect its operation and integrity.
However, access may be affected by maintenance, updates, technical failures, connectivity interruptions, security incidents or circumstances beyond the company's reasonable control.
When necessary, BPENNOVA may carry out technical interventions, temporarily suspend features or update components to maintain the security and operation of the site.
These measures do not release BPENNOVA from its legal obligations or from liability arising from breaches attributable to it.
19. Limitation of liability
To the extent permitted by applicable law, BPENNOVA will not be liable for damages arising exclusively from misuse of the website, incorrect information provided by the user, failures attributable to independent third parties or circumstances beyond its reasonable control.
This provision does not exclude or limit liability for willful misconduct, negligence where legally applicable, attributable breaches of contract, violations of consumer rights, breaches of data protection obligations or any other liability that cannot be validly excluded.
Users must verify that the products or services offered meet their needs and review the particular conditions before entering into a contract.
When BPENNOVA provides technical, professional or specialized information, its scope and relevant limitations will be indicated where applicable. The general information on the site does not replace the specific assessments or advice that each case may require.
20. Misuse and protective measures
When there are reasonable indications of fraud, impersonation, unauthorized access, cyberattacks or any conduct that compromises the website or the rights of third parties, BPENNOVA may adopt proportionate measures to protect its systems and users.
These measures may include technical restrictions, blocking of malicious automated activity, temporary suspension of features and reporting of the facts to the competent authorities where appropriate.
Any restriction must be applied in a manner consistent with the law and may not be used to disregard users' contractual or legal rights.
21. Changes to the website and to these terms
BPENNOVA may update, modify, add or remove website content and features when necessary for operational, commercial, technical or legal reasons.
It may also amend these terms and conditions to reflect changes in its activities, services, technologies or regulatory requirements.
The current version will be available in this section and will indicate its update date.
When an amendment materially affects contractual conditions already accepted or requires new legal acceptance, BPENNOVA will follow the corresponding procedure and will not apply retroactive changes to the detriment of acquired or non-waivable rights.
Subsequent use of the website will be subject to the current version insofar as legally applicable.
22. Suspension or termination of access
BPENNOVA may suspend or restrict access to certain features when technical, security, maintenance or legal compliance reasons justify it.
Measures affecting users with current contracts must respect the corresponding contractual conditions and legal obligations.
Suspension of access to the website does not automatically extinguish pending obligations, acquired rights or liabilities arising from existing contractual relationships.
23. Electronic communications
Users may receive communications related to their requests, quotes, contracts, payments, services or complaints through the contact details they have provided.
Commercial or advertising communications will be subject to the applicable authorizations, preferences and legal rules.
Data messages and electronic communications may be used as evidence under the terms permitted by Colombian law.
Where applicable, BPENNOVA will keep evidence of relevant transactions, acceptances and communications in accordance with its legal obligations and information retention policies.
24. Force majeure and fortuitous events
When one of the parties is affected by circumstances constituting force majeure or a fortuitous event, their effects on the obligations must be assessed in accordance with the law and the applicable contractual conditions.
The affected party must act in good faith, take reasonable measures to mitigate the consequences and notify the other party of the situation where appropriate.
This provision does not automatically eliminate the affected obligations or release a party from liability where this is not legally appropriate.
25. Severability
If any provision of these terms is declared invalid, ineffective or unenforceable by a competent authority, the remaining provisions will remain valid to the extent permitted by law.
The affected provision will be interpreted or adjusted, where legally possible, so as to preserve its legitimate purpose without disregarding users' rights.
26. Governing law and dispute resolution
These terms and conditions will be interpreted in accordance with the laws of the Republic of Colombia, without prejudice to the mandatory rules that may apply given the nature of the transaction or the user's rights.
BPENNOVA and the user will endeavor to resolve any disagreement in good faith through the available support channels.
If a direct solution cannot be reached, the parties may resort to the applicable administrative, conciliation or judicial mechanisms.
No provision of this document limits consumers' right to file complaints with the competent authorities or alters the legal rules on jurisdiction.
